It should be fine

I run a :

AMD Phenom IIx4 965 (3.4)
6 gigs ram ddr2
Nvidia Geforce 9800 GTX+
Win 7 64bit

The card is probably the slow point on my system. I run about 120 mods, centered around the Morrowind Sound and Graphics Overhaul package. I generally get about 12-28 fps outside, but its playable.

Make sure to use the utility that lets you utilize 3+ gigs of ram

Thanks guys. Yes, I've heard of that utility, could you please link it :). Oh and I upgraded it to 8 gigs of ram instead of 4 XD

There ya go! Ive noticed more stability with this patch, and no drawbacks.

Ive also tried The FPS Optimizer program was interesting, but I didnt see a significant improvement in performance, and the glaring popins was annoying, so i stopped using it.
